Artist Distribution & Master Ingestion Addendum

II. ARTIST DISTRIBUTION & MASTER INGESTION ADDENDUM

This Addendum applies to verified Artist accounts utilizing the XloudMusic portal for direct distribution. It is in addition to the Master Terms of Use & Marketplace Agreement.

1. GRANT OF LICENSE AND DISTRIBUTION

By uploading project data, master audio tracks, and lyrics, you grant XloudOne a non-exclusive, worldwide, royalty-free license to host, encrypt, serialize, and distribute the content via our proprietary database architecture.

1.1 Immutable Minting: You acknowledge that upon setting a project to "public," the Database automatically mints a fixed, immutable total_supply of digital assets. XloudOne cannot legally or technically increase this supply post-release.

2. REPRESENTATIONS AND WARRANTIES

You represent and warrant that:

(a) You own or legally control 100% of the rights to the master recordings, underlying musical compositions, and lyrics.

(b) All samples, interpolations, and third-party contributions have been fully cleared and paid for.

(c) Your content does not infringe on the intellectual property, privacy, or publicity rights of any third party.

You agree to fully indemnify and hold XloudOne harmless from any claims, damages, or royalty disputes arising from a breach of these warranties.

3. ALGORITHMIC PRICING & REVENUE

3.1 Base Price & Scaler: You retain the sole right to configure the initial base_price and the price_step_percentage. You acknowledge that the Platform's automated bonding curve will dictate all secondary market pricing.

3.2 Payouts & Audit Rights: Revenue generated from initial mints and secondary market royalties will be credited to your vault_balance in real-time. Payouts are subject to standard payment gateway processing fees and fraud-hold periods.

4. FRAUD AND STREAM MANIPULATION

If XloudOne detects artificial manipulation of the bonding curve (e.g., wash trading, bot-driven volume generation, or unauthorized coordinated buys/sells), we reserve the right to instantly freeze the project, reverse transactions, and permanently terminate your Artist account.
